Despite the ruling in favour of the defendants, the fact that there was no written agreement clearly setting out the parties respective obligations probably encouraged the claimants in bringing an unmeritorious claim which should never have been brought -a written contract reduces this risk. The Court's rejection of a binding agreement on the basis of the November 1988 letter is a useful reminder that employing "subject to contract" in pre-contract documents is a useful way of avoiding a contract being concluded unwittingly, a point which was illustrated in the very recent case of DMA Financial Services v Baan UK Limited. Finally, IT users know from now on that they are only entitled to consultancy advice from a supplier if clearly included in the overall agreement and the "complexity" of IT procurement will not by itself impose such an obligation on IT suppliers.
